As Corporate Counsel, you will first and foremost be a capable firefighter. You can identify and prioritize the most burning issue and reprioritize other issues on the fly and yet somehow still manage to meet deadlines. Second, you are a gifted problem solver. You will work with our team to understand the commercial deals that we want to implement, provide insight from a legal perspective and then craft sophisticated commercial agreements appropriately. You are patient and see yourself as a business enabler, not a gatekeeper and you view the world through a business lens first and a legal lens as a close second.
Attention to detail is in your DNA and combined with your public company experience, you are well suited to work with our internal and external teams in the preparation and filing of all manner of periodic reporting documents and continuous disclosure, such as MD&A, annual information form, material change reports and management information circulars.
Your relentless curiosity is what drives you to keep up to date on the latest cannabis laws and news. You aren’t afraid of international deals or working on new projects that you may not have extensive experience in, for example in respect of intellectual property, employment, healthcare and privacy issues or the odd real estate transaction.
Recognizing that cannabis is a rapidly evolving industry and no two days are the same, you are excited to roll up your sleeves and lend your intuition, good judgment and solid work ethic to anything that gets thrown your way – big or small, and you don’t sweat the small stuff. Working outside your comfort zone is exciting and you are used to driving all manner of projects to completion. You can work just as easily in both team and individual environments but prefer having broad latitude to operate without being micromanaged.
If your friends were asked to describe you, it would be impossible to imagine that they wouldn’t mention your sharp sense of humour and high EQ.
- Minimum of 4 years experience as an associate at a leading Canadian business law firm.
- Significant experience drafting and negotiating a variety of complex commercial arrangements.
- Extensive experience advising clients on public company issues. Comfortable advising the business on, and periodically preparing materials in respect of, continuous disclosure and filing obligations. Familiarity with SEDAR and SEDI filings.
- Great personal and work references.
- Able to clear RCMP and other similar criminal background checks.
- Currently in good standing to practice in Ontario having an LL.B or JD.
- This position reports directly to the General Counsel.
